Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Datafalk website https://datafalk.com, the Datafalk application programming interfaces (APIs), dashboards, mobile apps, alerts, reports and any related documentation, content or services (collectively, the "Service").

The Service is operated by Parallax 84 SAS, 9 rue des Colonnes 75002 Paris, France (SIRET 981 036 262 00013) ("Datafalk", "we", "our", "us").

By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you use the Service on behalf of an organisation (your employer, client or other entity) you represent that you have authority to bind that organisation. In that case "you" and "your" refer to the organisation.

1. Definitions

  • "Data" means any data, information, alerts, visualisations, structured or un‑structured datasets made available through the Service.
  • "Authorised User" means an individual permitted under your subscription or contract to access the Service on your behalf.
  • "Order" means a signed order form, proposal or other written agreement between you and Datafalk describing the subscription tier, usage limits, term and fees.

2. Eligibility & Account Security

You must be at least 18 years old and legally capable of entering into contracts to use the Service. You are responsible for maintaining the confidentiality of all login credentials and for all activities that occur under those credentials. Notify us immediately of any unauthorised use.

3. Permitted Use & Restrictions

3.1 What you may do

Subject to these Terms and any Order, Datafalk grants you a non‑exclusive, non‑transferable, revocable, limited licence to:

  • access and view the Service and Data for your internal business purposes;
  • download reports or visualisations generated by the Service for internal circulation;
  • cite or reference Datafalk as the source in public communications solely when Datafalk has given prior written approval.

3.2 What you may not do

Unless expressly authorised in writing, you must not:

  • use the Service or Data for any unlawful, deceptive, misleading or unethical purpose;
  • scrape, harvest, crawl or attempt to download Data in bulk;
  • reverse‑engineer, decompile or disassemble any part of the Service;
  • create derivative databases or competing products from the Data;
  • sublicense, resell, redistribute, publish or otherwise make the Service or Data available to any third party (including affiliates) beyond your Authorised Users;
  • remove proprietary notices, watermarks or copyright legends;
  • use the Service or Data to develop, operate or provide market indices, investment products, credit scores or insurance underwriting without a separate licence;
  • upload or transmit to the Service any content that is unlawful, defamatory, infringing, obscene, harmful or that contains viruses or malicious code.

You must comply with all applicable laws and regulations, including export‑control and sanctions regimes. We reserve the right to suspend or terminate access that breaches these Terms.

4. Intellectual Property & Ownership

The Service and Data are protected by copyright, database rights and other intellectual‑property laws. All rights, title and interest (including all IP rights) remain with Datafalk or its licensors. No rights are granted except as expressly stated in these Terms.

5. Fees & Payment

If you subscribe to a paid tier, you agree to pay the fees and any applicable taxes specified in the Order. Payments are due within 30 days of invoice unless otherwise stated. Late payments may incur interest at the statutory rate and/or suspension of access.

6. Confidentiality

Any non‑public Data, the Service, pricing, usage metrics and all documentation are Confidential Information. You must protect Confidential Information with at least the same care you use for your own confidential materials and not less than reasonable care. This obligation survives termination.

7. Disclaimers

The Service and Data are provided "as is" and "as available". While we strive for accuracy and uptime, Datafalk makes no warranties—express, implied or statutory—including warranties of merchantability, fitness for a particular purpose, non‑infringement, availability, accuracy or completeness. Data may be delayed, incomplete or inaccurate and must not be relied upon as legal, financial, investment or other professional advice.

8. Limitation of Liability

To the maximum extent permitted by law, Datafalk and its directors, employees, agents or suppliers will not be liable for:

  • indirect, incidental, special, punitive or consequential damages;
  • loss of profits, revenue, business, contracts, opportunity, goodwill or data;
  • business interruption or wasted management time;

arising out of or in connection with the Service or these Terms, even if advised of the possibility. Datafalk's total aggregate liability in any 12‑month period is limited to the greater of (i) €10,000 or (ii) the amount you actually paid to Datafalk in that period.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded under law.

9. Indemnity

You will defend, indemnify and hold harmless Datafalk from all claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Service or Data.

10. Availability, Maintenance & Support

We aim to provide 24 × 7 availability but do not guarantee uninterrupted or error‑free operation. Planned maintenance will be scheduled outside French business hours when feasible. Support is available at support@datafalk.com.

11. Term & Termination

These Terms apply from your first use of the Service and continue until terminated. We may suspend or terminate your access immediately if you breach these Terms. Upon termination you must cease all use and delete or destroy all Data in your possession, except copies required to be retained by law.

12. Third‑Party Links & Services

The Service may contain links to third‑party sites. Datafalk is not responsible for their content, accuracy or policies. Linking does not imply endorsement.

13. Export Compliance & Sanctions

You represent that you and your Authorised Users (i) are not subject to EU, U.S. or U.K. sanctions, (ii) are not located in embargoed countries, and (iii) will not provide access to the Service or Data to sanctioned persons or entities.

14. Modifications to the Service or Terms

We may update the Service or these Terms from time to time. Material changes will be notified by email or in‑app at least 15 days before taking effect. If you continue to use the Service after the effective date, you accept the new Terms.

15. Governing Law & Jurisdiction

These Terms are governed by French law. Any dispute will be submitted to the exclusive jurisdiction of the Tribunal de commerce de Paris, unless overridden by mandatory consumer‑protection rules.

16. Miscellaneous

  • Entire Agreement – These Terms and any Order constitute the entire agreement between you and Datafalk on the subject matter and supersede all prior understandings.
  • Severability – If any provision is unenforceable, the remaining provisions will remain in effect.
  • Assignment – You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
  • Force Majeure – Neither party is liable for failure to perform due to events beyond reasonable control (e.g. natural disasters, war, cyber‑attacks, strikes).
  • No Waiver – Failure to enforce a provision is not a waiver of future enforcement.
